Important Proprietary Software Notice & Usage Terms

Our Clarity Point of Sale (POS) System is proprietary software. By installing, configuring, or using this software, you are granted a limited license to use it in accordance with our licensing terms. Ownership of the software, database structures, designs, source code, and all intellectual property rights remain exclusively with the developer.

What Your License Includes

  • Licensed to use the software.
  • Installation on the licensed computer(s).
  • Regular technical support (if applicable).
  • Software updates according to the purchased plan.
  • Access to purchased features.

Ownership

The software is licensed, not sold.

Purchasing or subscribing to the software does not transfer ownership, copyright, source code, trademarks, or any intellectual property rights to the customer. All rights remain exclusively with the developer.

Restrictions

The customer may NOT:

  • Modify or alter the software.
  • Reverse engineer or decompile the software.
  • Copy or distribute the software.
  • Share license keys.
  • Resell the software.
  • Remove copyright notices.
  • Bypass or disable licensing or security features.
  • Create derivative works based on the software.

License Validity

The license remains valid only while the customer complies with the licensing agreement and maintains any required subscription or maintenance fees.

Violation of the license terms may result in suspension or termination of the license.

Installation Policy

  • The software is licensed for approved device(s).
  • Additional computers require additional licenses unless otherwise agreed.
  • Unauthorized installations are prohibited.

Updates & Support

Customers receive updates and technical support according to their purchased support plan.

Major upgrades may require renewal or purchase of a new license.

Data Ownership

All business data entered into the software remains the property of the customer.

The software itself, including its design, code, database structure, algorithms, user interface, and documentation, remains the exclusive property of the developer.

Intellectual Property

All copyrights, trademarks, trade secrets, and intellectual property rights relating to the software are reserved by the developer.

Termination

The license may be terminated if:

  • • License fees are not paid.
  • • License terms are violated.
  • • Unauthorized modification or distribution occurs.
  • • Piracy or misuse is detected.

Upon termination, the customer must immediately stop using the software.

Acceptance

By installing, activating, or using this software, you acknowledge that you have read, understood, and agreed to the Software License Agreement.

Frequently Asked Questions (FAQ)


Do I own this software after subscribing or purchasing it?
No. You are purchasing a limited license to use Clarity POS. The software copyright, code structure, interface design, database design, and algorithms remain the exclusive property of the developer.
Who owns the business data I enter into the POS system?
You do. All transaction histories, customer profiles, product lists, inventory details, and financial logs remain 100% your property. The software provides the infrastructure to process and store it, but we claim no rights to your business information.
Can I run the software on another computer?
The software is licensed for approved devices. Additional computers require additional licenses unless otherwise agreed in writing. Unauthorized installations are prohibited.
What happens if my subscription fees are not paid?
If required license fees or maintenance subscriptions are not paid, the license validity is suspended. The software may enter a read-only state or disable transaction processing until billing details are updated and cleared.

📜 End User License Agreement (EULA)

CLARITY POS - END USER LICENSE AGREEMENT (EULA) This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, hereinafter "Licensee" or "Customer") and Clarity POS (hereinafter "Licensor" or "Developer") for the software product Clarity POS, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software"). BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE. 1. GRANT OF LICENSE Subject to the terms and conditions of this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, and revocable license to install and use the Software on the number of computers/devices specified in your purchase agreement or subscription plan. 2. PROPRIETARY RIGHTS & OWNERSHIP The Software is licensed, not sold. Licensee acknowledges that no title to the intellectual property in the Software is transferred to Licensee. Ownership of the Software, including all source code, database structures, designs, algorithms, intellectual property rights, trademarks, and copyrights, remain exclusively with the Developer. 3. RESTRICTIONS Licensee shall not: - Modify, alter, adapt, translate, or create derivative works based on the Software. - Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software. - Copy, distribute, sublicense, rent, lease, or lend the Software. - Resell the Software or share license keys with unauthorized third parties. - Remove or modify any copyright, trademark, or other proprietary notices on the Software. - Bypass, disable, or circumvent any licensing verification, copy protection, or security mechanisms. 4. LICENSE VALIDITY & SUBSCRIPTION The validity of this license is contingent upon compliance with the licensing terms and the timely payment of any applicable subscription or maintenance fees. Failure to pay fees or comply with terms will result in immediate suspension or termination of the license. 5. BUSINESS DATA OWNERSHIP All business data, including transaction logs, customer profiles, product databases, and financial details entered into the Software by the Licensee, remains the exclusive property of the Licensee. Licensor claims no ownership rights over your business data. 6. SUPPORT AND UPDATES Technical support and software updates are provided in accordance with the purchased tier/subscription plan. Major version upgrades may require additional fees or license renewals. 7. TERMINATION This Agreement is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy or uninstall all copies in your possession. 8. DISCLAIMER OF WARRANTY THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 9. LIMITATION OF LIABILITY IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER ARISING OUT OF OR IN ANY WAY RELATING TO THE USE OF OR INABILITY TO USE THE SOFTWARE.
